These Terms and Conditions (“Terms”) govern your use of the Angel One ProInsight Research Analyst Marketplace (“ProInsight Marketplace”) hosted on the Angel One platform, operated exclusively by Angel One Limited (“AOL”), in its capacity as a SEBI-registered Research Analyst (Registration No.: INH000000164).

By continuing further, you hereby agree, undertake and acknowledge that you have carefully read, understood and agreed to comply with these Terms at all times:

A. Nature and Scope of ProInsight Marketplace

AOL, a SEBI-registered research analyst offers research services through ProInsight Marketplace offers which include issuance of research calls, research reports, market views, online webinar sessions, informational chats with RAs etc.

The ProInsight Marketplace does not (a) provide any investment advice; (b) solicit trading in any security; (c) undertake suitability or portfolio assessment; or (d) assure any returns or performance.

B. Fees and Subscriptions

Research content and services may be available only through paid subscription plans. Fee structure is disclosed separately for each service, prior to purchase.

AOL may offer free trials for limited purposes at its sole discretion. The free trial does not create any vested right or entitlement to continued access, future discounts or extensions beyond the Trial Period.

C. Content Usage Restrictions

You shall not:

1. directly or indirectly, forward, copy, record, resell or commercialize the content received from the ProInsight Marketplace;
2. rely on content without independent analysis;
3. engage in any indecent, disrespectful or abusive behaviour towards RAs or other users.
4. Ask any questions which may tantamount to seeking investment advisory or portfolio analysis.
5. Engage with any RA affiliated with AOL in independent capacity.
6. Share your access with any third party.
7. Share any personal details, including but not limited to financial details, bank account details or any other personal information with the RA

AOL may remove access or terminate account of users violating Terms.

D. No Execution or Inducement

The ProInsight Marketplace does not provide ordering or trading access. Customers making investment decisions must independently navigate to trading tab if they choose to transact.

E. Data Protection and Confidentiality

AOL may share only limited access or non-financial consumption data with the RAs solely to facilitate provision of research services. Processing of such data shall be governed by our Privacy Policy and Applicable Law.

F. SEBI Compliance Controls

AOL may:

1. automatically block publication of content that appears contradictory;
2. disable content that violates applicable laws;
3. edit/remove content for compliance;
4. revoke publication rights of an RA.

AOL retains the sole discretion to enable or disable any calls of the RAs subscribed by you. All chats, webinar recordings and communication logs are recorded and retained for minimum 5 years and may be produced to regulators upon request.

G. Intellectual Property

All research content and platform materials on the ProInsight Marketplace are the exclusive proprietary property of Angel One Limited. Any copying, recording (including screenshots), distribution, publication or commercial use of the content is strictly prohibited. Any unauthorised use shall constitute a material breach of these Terms and may result in suspension of access and legal action.

H. No Direct or Off-Platform Engagement with Research Analysts

Access to research content on the ProInsight Marketplace does not create any direct contractual, fiduciary or advisory relationship between you and any individual research analyst. For the avoidance of doubt, if you choose to independently contact, engage, follow or interact with any research analyst outside the ProInsight Marketplace, including through personal communications, social media platforms, websites or any other channel not expressly hosted or authorised by AOL, such engagement shall be entirely at your own risk and in no event shall AOL be held accountable or liable for any claims arising out of the same. This may further lead to AOL permanently disabling your access.

Angel One Limited shall not be responsible or liable for any content, advice, communication, representation, loss or consequence arising from any such off-platform interaction, and such interactions shall not be deemed to form part of the research services provided through the ProInsight Marketplace.

I. Indemnity by Customer

You shall indemnify and hold AOL harmless against losses arising from (a) breach of these Terms; (b) unlawful use of research content; (c) regulatory action caused by your conduct.

J. Liability Limitation

AOL, its RAs, employees, directors, and affiliates shall not be liable for:

1. market losses, investment losses, lost profits;
2. delays, downtime, system failure;
3. errors in content, latency in market updates;
4. reliance-based losses or loss of data;
5. economic loss, damage to goodwill;
6. indirect, incidental, special, punitive or consequential damages.

AOL’s total aggregate liability, whether arising in contract, tort, equity or otherwise, shall in no event exceed the subscription fees actually paid by the Customer for the specific research service giving rise to such claim.

K. Amendment

AOL may amend, modify or update these Terms at any time and such revised Terms shall become effective upon publication on the ProInsight Marketplace. You shall be solely responsible to review these Terms periodically to stay informed of any changes, and continued access or use of the ProInsight Marketplace after any modification shall be deemed to constitute your acceptance of the updated Terms.

L. Disclaimer

1. All research content is provided for general informational only and does not take into account your personal investment objectives, financial circumstances, risk appetite or needs.
2. The research content does not constitute personalised investment advice, solicitation, offer, or inducement to buy or sell any securities or financial products.
3. Investing and trading in securities is subject to market risks including without limitation price volatility, liquidity risks, economic and policy changes, corporate announcements and global events.
4. Market conditions evolve continuously and prices of securities may fluctuate within short intervals. Accordingly, any research call, view, estimate or projection expressed by an RA reflects their independent assessment at a specific point in time, at which such call/content is published. Customers should always consider the time stamp of the research content and shall not construe any variations as inconsistency or error or non-compliance with the law.
5. AOL undertakes no obligation to update, revise or reaffirm any research content after publication.
6. You are solely responsible for evaluating the merits and risks associated with any information or research content before making any investment or trading decisions. AOL shall not be responsible for any decision made or action taken based on such research content.
7. The availability and functioning of the ProInsight Marketplace may be affected by technical issues, connectivity limitations, maintenance activities or third-party service outages. AOL shall not be liable for delays, interruptions, missed opportunities, or losses arising from any such issues.
8. AOL may suspend or restrict access to the ProInsight Marketplace or any part thereof where required under applicable law, regulatory directions or internal compliance determinations.
9. AOL shall not be liable for any action taken by you in violation of applicable laws, these Terms or misuse of research content including unauthorised dissemination, market manipulation or unlawful financial activity.
