
Bharti Airtel has approved a share swap transaction aimed at increasing its ownership in Airtel Africa plc. The move forms part of the company’s broader strategy to strengthen its position in its Africa-focused telecom operations through a cashless equity transaction involving promoter group entity Indian Continent Investment Ltd (ICIL).
Bharti Airtel stated that its board has approved the issuance of up to 146.76 million equity shares on a preferential basis to ICIL. The transaction will be carried out through a share swap arrangement rather than a cash purchase.
Under the proposed structure, Bharti Airtel will acquire up to 595.2 million shares of Airtel Africa plc from ICIL, representing approximately 16.31% stake in the UK-listed telecom business.
The company said the transaction value stands at around ₹28,220 crore.
According to the company’s exchange filing, the equity shares will be issued at ₹1,923 per share. Bharti Airtel stated that the pricing is above the floor price prescribed under SEBI ICDR regulations.
The valuation was based on an independent assessment conducted by a registered valuer.
Following completion of the transaction, Bharti Airtel’s effective holding in Airtel Africa is expected to increase from its current level.
At present, the company holds a 62.73% stake in Airtel Africa through its wholly-owned subsidiary, Airtel Africa Mauritius Ltd.
The transaction is intended to consolidate Bharti Airtel’s ownership in its African operations while maintaining a non-cash structure through equity issuance.
Airtel Africa remains an important part of Bharti Airtel’s international telecom business, with operations across multiple African markets covering mobile services, digital payments and data connectivity.
The increased ownership may strengthen Bharti Airtel’s strategic and financial participation in the subsidiary’s long-term operations and regional expansion plans.
As of 14 May 2026 at 09:42 AM, shares of Bharti Airtel were trading at ₹1,808.80 on the NSE, up ₹19.60 or 1.10% from the previous close of ₹1,789.20.
