A recent legal move seeks to interrupt the scheduled board meetings of the Sir Dorabji Tata Trust and the Sir Ratan Tata Trust set for May 8, as per The Moneycontrol report.  

The Bombay High Court petition raises concerns over governance, particularly surrounding planned decisions regarding the reconstitution of the Tata Sons board. 

Legal Action Trigger for Tata Trusts 

The petition, submitted by Suresh Tulsiram Patilkhede, calls for an interim injunction from the Bombay High Court to prevent the board meetings planned for May 8.  

Key items on the agenda include the proposed removal of the TVS Group Chairman, Venu Srinivasan, from the Tata Sons board, with Bhaskar Bhat poised to replace him.  

The filing claims that such decisions should be postponed until the board is reconstituted in compliance with the Maharashtra Public Trusts Act, 1950. 

Caveat Filed by Tata Trusts 

In anticipation of potential litigation, Tata Trusts have filed a caveat with the Bombay High Court, aiming to ensure their side is heard before any adverse decisions are made.  

This legal preparation comes amid the possibility of major alterations to Tata Sons' governance and structure, which could have far-reaching implications for the group’s operational dynamics.

The petition raises issues about compliance with Section 30A(2) of the Maharashtra Public Trusts Act. The petitioner indicates that the existing board actions since September 1, 2025, contravene these statutory provisions, constituting an ongoing breach of fiduciary duty.  

A letter submitted to the Charity Commissioner of Maharashtra accuses the Sir Ratan Tata Trust of breaching the law by enabling overrepresentation of perpetual trustees against statutory limits. 

Debate Over Trustee Composition 

Concerns have been raised about the concentration of control within the board of trustees. The letter alleges that 3 out of 6 trustees at the Sir Ratan Tata Trust function as perpetual trustees, exceeding the allowable cap on such roles.  

This composition allegedly violates the objective to enhance accountability and prevent undue concentration of decision-making power.
