Online Instruments (India) Ltd has filed draft papers with the Securities and Exchange Board of India to raise funds through an Initial Public Offering. The IPO will consist of a fresh issue worth ₹750 crore along with an Offer for Sale by promoters.

The Bengaluru-based firm operates in the audiovisual systems integration space and has a presence in domestic and overseas markets. The issue structure also allows flexibility through a possible pre-IPO placement.

IPO Structure and Fundraising Details

The proposed public issue includes a fresh equity issue aggregating ₹750 crore. In addition, promoters Anita Mahesh Bellad and Rajeshwari Shivanand Mahashetti will sell up to 57.10 lakh equity shares through the Offer for Sale component.

The company may also undertake a pre-IPO placement of up to ₹150 crore before the issue opens. If completed, the fresh issue size will be reduced by the amount raised through such placement.

Utilisation of Issue Proceeds

According to the draft prospectus, ₹160 crore from the fresh issue proceeds will be used to repay or prepay certain borrowings. Around ₹330 crore has been earmarked for funding working capital requirements of the business.

A portion of the funds will also be allocated towards supporting inorganic growth through unidentified acquisitions. Remaining proceeds will be used for general corporate purposes to meet operational needs.

Business Profile and Product Portfolio

Incorporated in 2006, Online Instruments provides audiovisual systems integration solutions across multiple use cases. These include unified communications and collaboration platforms, smart conference rooms, auditoriums and command centres.

The company also manufactures Interactive Flat Panel Displays, LED display products and audiovisual accessories under the LOGIC brand. Additionally, it produces white-labelled displays for OEMs and lighting products under the Orange Plus brand.

Operations, Customers and Geographic Reach

Online Instruments operates 3 manufacturing facilities located in Bengaluru. The company has executed projects in overseas markets including Singapore, Malaysia, Taiwan, the Philippines, the United Arab Emirates, the United States, Mexico and France.

As of December 31, 2025, it had completed AVSI projects for 745 customers in India. Its customer base spans multiple sectors such as enterprise, healthcare, banking, education, manufacturing, retail and airports.
