Zee Entertainment Enterprises Limited has announced the allotment of fully convertible warrants on a preferential basis to its promoter group entity Sunbright Mauritius Investments Limited. The move marks a significant capital raising exercise as the company receives funds against the warrant subscription. 

Zee Entertainment Enterprises Allots 20.94 Crore Preferential Warrants  

The company allotted 20,94,47,805 fully convertible warrants at an issue price of ₹126 per warrant. The allotment was made to Sunbright Mauritius Investments Limited, a promoter group entity, following approvals from the board, shareholders and stock exchanges. 

Zee Entertainment Enterprises received 25% of the warrant issue price, amounting to ₹659.76 crore, as the subscription amount at the time of allotment. The remaining 75% payment can be made when the warrant holder exercises the conversion option. 

Convertible Warrants Can Convert into Equity Shares 

Each warrant issued by Zee Entertainment Enterprises is fully convertible into one fully paid equity share of the company. The conversion can take place in one or more tranches within 18 months from the date of allotment. 

Upon payment of the remaining ₹94.50 per warrant, representing 75% of the issue price, the warrant holder will receive one equity share at ₹126 per share, including a premium of ₹125 per share.

Impact of Zee Entertainment Enterprises Warrant Conversion 

At the current stage, the allotment of warrants has not changed the company’s paid up share capital. The change will occur only if the warrants are converted into equity shares.  

According to the exchange filing, after the conversion of all warrants into equity shares, Sunbright Mauritius Investments Limited would hold 20,94,74,805 shares, which would translate into a 17.90% stake on a fully diluted basis.
