L&T Share Price in Focus; To Transfer Data Centre and Cloud Business to Vyoma.AI

Larsen & Toubro (L&T) is restructuring its digital infrastructure operations through its wholly owned subsidiary Vyoma.AI Ltd, with two transactions covering its data centre, cloud and network services businesses, as per the exchange filings.
The primary transaction involves transferring L&T's data centre and cloud services business to Vyoma.AI for an estimated ₹1,400 crore. The deal will be executed through a slump sale on a going-concern basis, with the consideration settled through fully paid-up equity shares of Vyoma.AI.
Vyoma.AI to House Digital Infrastructure Business
Vyoma.AI is a newly incorporated public limited company established to develop data centres and provide infrastructure and technology-enabled services.
The restructuring places L&T's data centre and cloud services operations within a dedicated subsidiary focused on digital infrastructure.
₹30 Crore LTNSPL Transfer
Separately, L&T, Vyoma.AI and L&T Network Services Pvt Ltd (LTNSPL) have entered into a share purchase agreement.
Under the arrangement, L&T will transfer its entire equity holding in LTNSPL to Vyoma.AI for ₹30 crore, with the consideration again payable through Vyoma.AI equity shares.
Following completion, LTNSPL will become a direct wholly owned subsidiary of Vyoma.AI and an indirect wholly owned subsidiary of L&T.
LTNSPL Turnover Stood at ₹1.86 Crore
As of March 31, 2026, LTNSPL reported a turnover of ₹1.86 crore and a net worth of ₹18.31 crore. These figures represent a small portion of L&T's consolidated financial scale.
The expected completion date for the LTNSPL transaction is on or before October 31, 2026.
Two Transactions Subject to Closing Conditions
Both transactions are subject to the closing conditions specified in their respective Business Transfer Agreement and Share Purchase Agreement.
The two arrangements together involve the transfer of L&T's data centre, cloud and network services businesses into the Vyoma.AI structure.
