BPCL Share Price in Focus; To Acquire 40% Stake in Tiki Tar and Shell India for ₹85 Crore

Bharat Petroleum Corporation Limited (BPCL) has signed an agreement to acquire a 40% equity stake in Tiki Tar and Shell India Private Limited (TTSIPL), a joint venture of Tiki Tar Group and Shell Gas B.V., as per the exchange filings.
The acquisition has been made under a cash consideration of ₹85 crore and is expected to be completed within 90 days.
BPCL To Acquire 40% Stake In TTSIPL
BPCL said it signed the agreement on June 29, 2026, to acquire a 40% equity stake in TTSIPL.
The company stated that the transaction is not a related-party transaction and has already received approval from the Department of Investment and Public Asset Management (DIPAM).
Acquisition Aims to Strengthen Bitumen Business
According to BPCL, the acquisition is driven by the need to capture the rapidly growing market for value-added bitumen (VAB) in India's expanding infrastructure sector.
The company believes the investment will strengthen its presence in specialised bitumen products used in highways, airport runways and other infrastructure projects.
About Tiki Tar and Shell India
Tiki Tar and Shell India Private Limited was incorporated in October 2019 and operates in the marketing, processing, importing, exporting and sale of bitumen and bituminous products.
Its product portfolio includes VG Grade Bitumen, Polymer Modified Bitumen (PMB), Crumb Rubber Modified Bitumen (CRMB), Emulsion and Emulsion OB. The company also exports products to Nepal, Bhutan and Bangladesh.
Financial Details of the Transaction
BPCL will acquire the 40% stake for a cash consideration of ₹85 crore.
TTSIPL reported a turnover of ₹317.76 crore in FY24, ₹545.16 crore in FY25 and ₹404.60 crore in FY26, according to the financial records shared in the filing.
