PNB Housing Block Deal by Carlyle Group

Shares of PNB Housing Finance, a subsidiary of Punjab National Bank, fell over 2% in opening trade today, with a significant volume of 3.4 crore shares changing hands compared to a two-week average of 0.63 lakh stocks. This drop came amid news that private equity firm Carlyle was selling up to a 6.4% stake in the company through block deals.
Details of the Block Deal
PNB Housing Finance shares worth a total of Rs.2,642 crore were sold through a block deal on the exchanges on July 30, with Carlyle Group’s Quality Investment Holdings PCC being the likely seller. As much as 3.4 crore shares, representing a 13.1% stake in the company, changed hands at an average price of Rs.778 apiece. The floor price of the deal marked an over 2% discount from the stock’s previous closing price of Rs 794.90. Carlyle’s stake in PNB Housing Finance before the sale was 32.68%. There is now a 90-day lock-in period on any further sale of shares by Carlyle.
Q1FY25 Performance
PNB Housing Finance reported a strong performance in its Q1FY25 earnings, with a 24.6% growth in consolidated net profit, reaching Rs.432.81 crore compared to Rs.347.32 crore in the previous year. Total revenue increased by 7.3% to Rs.1,832.08 crore. The company’s gross non-performing assets (GNPA) declined to Rs.51,263 crore, and net non-performing assets (NNPA) dipped to Rs.5,930 crore. In percentage terms, GNPA improved to 1.35% from 3.76%, and NNPA to 0.92% from 2.59%.
Market Reaction
Following the news, PNB Housing shares opened lower at Rs.781.60 falling around 2% today, compared to the previous close of Rs.794.20. The market capitalisation of the company slipped to Rs.20,349 crore. The shares have fluctuated between a 52-week high of Rs.913.95 on January 25, 2024, and a low of Rs.598.05 on August 2, 2023.
