Zaggle to Buy Greenedge Enterprises for ₹25 Crore to Boost Loyalty and Rewards

Zaggle Prepaid Ocean Services Limited has informed stock exchanges that its board of directors approved the acquisition of Greenedge Enterprises Private Limited. The decision was taken at the board meeting held on September 29, 2025.
Acquisition Terms
The company will acquire 1,30,000 equity shares of Greenedge, representing its entire issued and paid-up capital. The total consideration for this purchase is up to ₹25 crore. The acquisition will be carried out under a share purchase agreement.
Investment Plan
In addition to the acquisition, Zaggle will invest up to ₹25 crore in Greenedge. This will be done in one or more tranches through a share subscription agreement. As part of this plan, Zaggle will subscribe to 1,62,548 equity shares of Greenedge with a face value of ₹10 each.
Completion Timeline
The company has stated that the transaction will be completed within 45 days. The consideration will be in cash. No regulatory or governmental approvals are required for the deal. The acquisition does not qualify as a related party transaction.

Greenedge Enterprises Private Limited was incorporated on March 9, 2009. The company operates in the loyalty experiences and rewards sector, focusing on golf-based corporate engagement. It provides B2B solutions in areas such as golf travel, experiences, and access-based rewards. Greenedge also works with RuPay Card (NPCI) to offer benefits.

As of September 30, 2025, 11:46 am, Zaggle Prepaid Ocean Services share price was trading at ₹354.40, a 1.24% increase from the previous closing price.
Conclusion
Through this acquisition and proposed investment, Zaggle will take full ownership of Greenedge Enterprises. The transaction adds a new vertical in loyalty and rewards to its operations.
