
Veranda Learning Solutions Ltd. has received approval from the National Company Law Tribunal (NCLT), Chennai Bench-I, for the amalgamation of its step-down subsidiary Veranda K-12 Learning Solutions Private Limited with its wholly owned subsidiary Veranda Administrative Learning Solutions Private Limited, as per the exchange filings.
The approval marks a key milestone in the implementation of the company's proposed restructuring scheme.
The company informed the stock exchanges that the NCLT approved the Scheme of Amalgamation through its order dated July 31, 2026.
The scheme involves the merger of Veranda K-12 Learning Solutions Private Limited (Transferor Company) into Veranda Administrative Learning Solutions Private Limited (Transferee Company).
According to the filing, the amalgamation will become effective from the appointed date specified in the scheme once the NCLT order is filed with the Registrar of Companies through e-Form INC-28. Following the completion of this process, the transferor company will stand dissolved.
The company noted that the approval follows its earlier intimation made on August 5, 2025, regarding the proposed scheme.
The e-copy of the NCLT order was uploaded on the tribunal's website on August 4, 2026, after which the company informed the stock exchanges.

As of August 05, 2026, at 10:39 AM, Veranda Learning share price was trading at ₹254.90 per share, reflecting a decline of 0.93% from the previous trading session.
Veranda Learning has secured NCLT approval for the amalgamation of two of its subsidiaries. The merger will become effective after the required filing with the Registrar of Companies, following which the transferor company will cease to exist.
