UPL Share Price in Focus; Subsidiary Advanta to Acquire Hytech Egypt for $110 Million

UPL Limited has announced an acquisition through its step-down subsidiary Advanta Holdings B.V. The transaction involves Hytech Egypt, a seed business operating in the Middle East and Africa, with the deal valued at about $110 million.
Advanta to Take 99.98% Stake
Advanta BV will acquire the operating business through Hytech Egypt USA LLC, which controls Misr Hytech Seed International S.A.E. Once the transaction is completed, Advanta BV will hold 99.98% of Hytech Egypt.
The acquisition will be funded through cash, with the consideration subject to closing adjustments and other terms under the Equity Purchase Agreement.
Hytech Egypt's Revenue
Hytech Egypt operates in the agricultural and seeds industry and was incorporated on September 25, 1993.
The company reported turnover of around $34.9 million in FY2023, $37.6 million in FY2024 and $25.7 million in FY2025. Its financial year runs from September to August.
Focus on Corn Seed Market
UPL said the acquisition will give Advanta an immediate leadership position in the white and yellow corn seed market in the Middle East and Africa. The company described this as one of the region's largest and fastest-growing seed markets.
Advanta Enterprises is part of UPL's Seeds and Post Harvest segment, operating under the Advanta platform. UPL effectively holds 78.21% in the platform.
Completion by January 2027
UPL expects the transaction to be completed on or before January 31, 2027. The acquisition is not a related-party transaction, and the filing states that the promoter, promoter group and group companies have no direct or indirect interest in the target.
