On August 27, 2026, Transformers and Rectifiers India Limited held a board meeting where key decisions were made.  

The company approved the variation and reallocation of unutilised QIP proceeds and the incorporation of a subsidiary in the United Kingdom, as per the exchange filings. 

Approval for QIP Proceeds Reallocation 

The board has approved a variation and reallocation of the Qualified Institutional Placement (QIP) proceeds that remain unutilised.  

This decision will be put forth for approval by the company's members via a Special Resolution through Postal Ballot. The QIP was initially conducted based on the Placement Document dated June 13, 2024. 

Incorporation of UK Subsidiary 

The board has also given the green light for the incorporation of a subsidiary company in the United Kingdom. This move is subject to the completion of necessary statutory, regulatory, and other formalities.  

The proposed name for this subsidiary is Maxwell Grid Transformers (UK) Private Limited. 

Details of the Proposed UK Subsidiary 

The new subsidiary will belong to the Electrical Equipment and Capital Goods Sector. It will engage in manufacturing and repairing transformers, selling and distributing TARIL transformers, and trading in transformer components.  

The initial capital subscription will be in cash, with an investment of £10 million planned in one or more tranches. 

Shareholding and Control 

Transformers and Rectifiers India Limited will hold a 51% shareholding in the new subsidiary. The number of shares will be determined upon incorporation and subscription.
