Post this acquisition, Tata Steel's holding will increase to 74%, making it the majority shareholder, while NYK Europe will maintain its 26% stake.
Details of the Acquisition
The transaction is set to involve Tata Steel purchasing the entire 23% stake held by IQ Martrade Holding Und Management GmbH in TMILL.
After this acquisition, IQ Martrade will exit the joint venture, leaving Tata Steel and NYK Europe as the remaining partners.
The CCI's approval was necessary as the transaction crossed the thresholds set under India's competition law.
TMILL Joint Venture Structure
TM International Logistics Ltd was initially established as a joint venture with a 51:23:26 shareholding structure between Tata Steel, IQ Martrade, and NYK Europe.
The company was primarily incorporated to address Tata Steel's logistics and cargo transportation needs.
After the completion of this transaction, Tata Steel's stake will rise to 74%, while NYK Europe will continue to hold its 26% stake.
