Tata Power Company Limited has invested ₹50 crore in Dorjilung Hydro Power Limited (DHPL), subscribing to equity shares that represent a 40% ownership in the company. The investment was made through the purchase of 50,00,000 equity shares with a face value of ₹100 each.
The filing suggests that the transaction represents the first tranche of a planned investment into the Bhutan-based entity.
The arrangement follows a shareholders’ agreement signed between Tata Power and Druk Green Power Corporation Limited (DGPC) in November 2025.
Dorjilung Hydro Power Limited has been formed to develop the Dorjilung Hydropower Project in Bhutan. The planned facility will have an installed capacity of 1,125 megawatts (MW).
The project is estimated to involve an overall investment of about ₹13,100 crore. Hydropower projects in Bhutan are typically developed with support from regional partners and are to supply electricity within the country and to neighbouring markets.
The ₹50 crore investment is the first step in Tata Power’s participation in the project. The company has indicated that the remaining investment will be carried out in multiple tranches over a period of around 6 years.
The acquisition has been carried out through cash consideration. Once the stake acquisition is completed, DHPL will be treated as an associate company of Tata Power.
Dorjilung Hydro Power Limited was incorporated on December 8, 2025, and operates in the power generation sector. The entity has been created specifically for the development of the Dorjilung hydropower project.
As the company is newly established, it does not have any turnover, profit after tax or net worth recorded for the previous three years. The company’s operations are currently based in Bhutan.
