Tata Communications Limited to acquire a 26% stake in Clean Max Yuhdul Private Limited, according to a regulatory filing submitted to stock exchanges on May 9, 2026.
The transaction was carried out through a share purchase agreement signed on May 8 with Clean Max Enviro Energy Solutions Limited and its wholly-owned subsidiary, Clean Max Yuhdul Private Limited.
Under the agreement, Tata Communications will acquire 2,600 equity shares in the special purpose vehicle (SPV). The shares represent a 26% holding in the entity.
Deal Value and Structure
The filing stated that the shares are being acquired at ₹10 each, taking the total consideration to ₹26,000. The payment will be made entirely in cash.
Tata Communications said the acquisition does not fall under related party transactions. The company also stated that its promoter group and associated entities do not hold any interest in the SPV.
No government or regulatory approvals are required for the transaction, according to the disclosure.
Focus on Renewable Power
The SPV has been set up for power generation through renewable energy sources, including solar and wind projects.
Tata Communications said the investment is intended to support renewable energy consumption at its offices in Karnataka through captive power use arrangements.
The company added that the transaction forms part of its carbon neutrality and net-zero targets. It also noted that higher renewable energy usage could help improve power cost efficiency over time.
Background of the SPV
Clean Max Yuhdul Private Limited was incorporated on October 23, 2025, under the Companies Act, 2013.
The entity has not started operations yet and currently has no reportable financials, the filing said.
The disclosure was submitted to the National Stock Exchange of India and BSE Limited under Regulation 30 of SEBI’s Listing Obligations and Disclosure Requirements Regulations.

As of May 11, 2026, 11:47 am, Tata Communications share price was trading at ₹1,576.20, down 1.01% from the previous closing price.
