Tata Chemicals North America Inc. (TCNA), a subsidiary of Tata Chemicals Limited set to acquire soda ash customer contracts from Searles Valley Minerals Inc. (SVM) in the USA, as reported on exchange filings on August 29, 2026.  

This acquisition, valued at $21.16 million, is part of the Chapter 11 bankruptcy proceedings of SVM. 

Details of the Acquisition 

TCNA has entered into an Assignment and Assumption Agreement (ASA) with SVM to acquire North American soda ash customer contracts.  

These contracts represent over 5,00,000 metric tons of customer orders through December 2028. The United States Bankruptcy Court for the District of Delaware has approved the transaction, which includes the assignment of specified customer contracts and related commercial rights. 

Impact on Tata Chemicals North America 

This acquisition strengthens TCNA's customer portfolio by securing domestic North American customers. It enhances TCNA's ability to build long-term customer relationships and improve customer retention.  

The acquired contracts are expected to be serviced from September 2026 through December 2028.

Financial Details and Conditions 

The acquisition involves an aggregate cash consideration of $21.16 million. The transaction remains subject to the satisfaction of customary closing conditions and other terms set forth in the ASA.  

Neither the promoter nor the promoter group of Tata Chemicals Limited has any interest in SVM or the acquired contracts. 

Regulatory Approval and Compliance 

The United States Bankruptcy Court for the District of Delaware has approved the assignment and assumption of the specified customer contracts from SVM to TCNA.  

The transaction does not constitute a related party transaction under the SEBI Listing Regulations. 

Tata Chemicals Share Price Performance 

As of August 28, 2026, at 3:30 PM, Tata Chemicals share price on NSE was closed at ₹655.75, up by 1.80% from the previous closing price.
