SEPC Share Price Surges Over 2%; Receives In-Principle Approval to Enter UAE Petroleum Trading

SEPC Limited has received in-principle approval from its Board to enter the UAE petroleum trading business, as per the exchange filing.
The company plans to do this by acquiring 100% of Wintality Petroleum FZE, a UAE-based company involved in the import, export and trading of refined petroleum products.
The acquisition will be done through a share swap, so SEPC will not have to make a cash payment for the deal.
Wintality to Become SEPC's Subsidiary
Wintality Petroleum FZE will become a step-down subsidiary of SEPC after the deal is completed. SEPC will carry out the transaction through its UAE subsidiary, SEPC FZE, Sharjah.
No Cash Outflow
The deal will be completed by changing the share capital and using the reserves of SEPC FZE. After the restructuring, SEPC will continue to hold 95.75% of SEPC FZE. Only 4.25% of the enlarged share pool will be used as the non-cash consideration for the acquisition.
This means SEPC can enter the petroleum trading business without spending cash from the parent company.
SEPC Enters a New Business
SEPC is mainly an EPC company, working on areas such as water and wastewater, roads, industrial infrastructure, and mining.
The acquisition will give the company an operating business in refined petroleum trading, taking its business beyond its traditional project-based work.
Company Says Deal Will Expand UAE Presence
SEPC Managing Director Venkataramani Jaiganesh said the structure will help the company grow its UAE operations using value already built inside its own subsidiary.
He also said the deal is a capital-efficient way for SEPC to expand its international business.
SEPC's FY26 Performance
SEPC reported total income of ₹1,085.8 crore and EBITDA of ₹108.9 crore in FY26.
Its net profit stood at ₹53.5 crore, compared with total income of ₹646 crore in FY25. The company said its net profit more than doubled during the year.

SEPC Share Price Performance
As of August 26, 2026, at 12:20 PM, SEPC share price was trading at ₹5.91 per share, reflecting a surge of 2.43% from the previous trading session.
