
RattanIndia Power Ltd has released 209,75,98,310 equity shares held by its promoters from a Non-Disposal Undertaking (NDU), according to an exchange filing dated July 27, 2026.
These shares accounted for 88.65% of the promoters' total holding in the company and had been placed under the undertaking as part of a financing arrangement.
The NDU had been created in favour of Vistra ITCL (India) Ltd, acting as the Security Trustee for Kotak Mahindra Bank Ltd. The arrangement served as security for a ₹550 crore working capital facility availed by RattanIndia Power.
Following the release, the shares are no longer subject to restrictions under the undertaking.
The company said the release has resulted in its entire promoter shareholding becoming free from encumbrances. The promoters collectively hold 236,61,03,603 equity shares, representing 44.06% of the company's total equity share capital.
With the NDU withdrawn, no part of the promoter stake remains under any form of encumbrance related to this facility.
The development was disclosed under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The filing was submitted to both the BSE and the NSE on July 27, 2026. The company requested the exchanges to take the information on record.

As of July 27, 2026, at 3:30 pm, RattanIndia Power share price closed at ₹8.66, up 0.35% from the previous closing price.
The release of the Non-Disposal Undertaking removes restrictions on promoter shares that had been secured against a ₹550 crore working capital facility. The company's entire promoter holding is now free from encumbrances.
