
NBCC (India) Ltd. has proposed the merger of its wholly owned subsidiary HSCC (India) Ltd. with the parent company under a Scheme of Arrangement approved by its board.
The company informed the stock exchanges that HSCC will be amalgamated with NBCC under the proposed scheme.
The appointed date for the merger has been fixed as April 1, 2026, although the scheme will become effective only after receiving all necessary approvals from the competent authorities.
As HSCC is a wholly owned subsidiary of NBCC, the merger will not involve the issuance of any new equity shares.
The company's existing investment in HSCC will stand cancelled upon the scheme becoming effective, and no consideration will be payable under the transaction.
According to NBCC, the merger is expected to eliminate duplication of functions, simplify the corporate structure and improve resource utilisation across the combined entity.
The company also expects the integration to reduce administrative, legal and regulatory compliance costs while enabling faster decision-making and improving overall operational efficiency.

As of 17 July 2026, NBCC share price was trading at ₹97.25 per share, reflecting a decline of 0.05% from the previous trading session.
The proposed merger is expected to create a more streamlined organisation by integrating HSCC's operations with NBCC, allowing the company to improve execution capabilities, optimise costs and strengthen its position in the infrastructure and healthcare project management segments.
