Jio Financial Services Share Price in Focus; Bank of America to Acquire Up to 49.9% in Jio Credit

Jio Financial Services has signed agreements with Bank of America for an investment of up to ₹18,268.22 crore, or about $1.9 billion, in Jio Credit Limited. The agreements were signed on August 12, 2026, and the company disclosed the transaction in an exchange filing later that day.
The transaction will use a preferential issue of shares and warrants. Bank of America will subscribe to up to 4.29 crore (4,29,29,760) equity shares for ₹6,612.90 crore (₹6612,90,02,304), representing 26.5% of Jio Credit’s post-issue equity share capital.
Warrant Subscription
Bank of America will subscribe to up to 7.57 crore (7,56,64,248) warrants for ₹11,655.32 crore (₹11655,32,07,619.20). Each warrant can be converted into one equity share within 18 months from allotment.
25% of the amount for the warrants will be paid at subscription, with the remaining amount due when the warrants are converted. If all the warrants are converted, Bank of America will hold 49.9% of Jio Credit.
Jio Credit’s Assets
Jio Credit, formerly known as Jio Finance Limited, is a wholly owned subsidiary of Jio Financial Services and operates as a digital-native NBFC. Its lending portfolio includes mortgages, loans against securities, commercial finance, and supply chain finance.
The company had assets under management of ₹30,667 crore as of June 30, 2026. The AUM is around $3.2 billion and was built within 2 years of operations.
Management and Approvals
Jio Credit’s board will have equal representation from Jio Financial Services and Bank of America. Its management team will continue to handle strategy and operations. Jio Credit will remain consolidated in Jio Financial Services’ financial reporting.
The transaction is subject to statutory and regulatory approvals. Jio Financial Services said it is not a related party transaction, and that its promoters, promoter group and group companies have no interest in it.

Jio Financial Services Share Price Performance
As of August 13, 2026, 10:40 am, Jio Financial Services share price was trading at ₹257.65, a 0.62% increase from the previous closing price.
Conclusion
The agreement will bring Bank of America into Jio Credit as a joint venture partner, with a stake of up to 49.9%. The proposed investment remains subject to approvals.
