Inox Green Energy Services has completed the payment for the transfer of Wind World India Limited’s (WWIL) 4.5 GW wind operations and maintenance (O&M) business, as per an exchange filing dated October 7, 2026.

The payment was completed on October 6, 2026, through its subsidiary Vibhav Energy Private Limited (VEPL).

₹550 Crore Consideration

The transaction has a total consideration of ₹550 crore, including taxes. Under the Business Transfer Agreement (BTA), the O&M business will be transferred to VEPL as a going concern. The transfer is also being carried out under the Resolution Plan approved by the National Company Law Tribunal (NCLT).

Inox Green will hold a 75% stake in VEPL after the transfer and implementation of the Resolution Plan. This will allow the company to consolidate the financials of the transferred business on a line-by-line basis.

4.5 GW Wind Portfolio

WWIL’s O&M business covers a 4.5 GW wind portfolio across Karnataka, Maharashtra, Tamil Nadu, Rajasthan, Gujarat, Madhya Pradesh and Andhra Pradesh. Its customers include the Tata Group, ReNew, Greenko Group, Apraava Energy and Hindustan Zinc.

The business recorded approximately ₹580 crore in revenue in FY26. Its contracts also carry annual price escalation of around 5%.

O&M Portfolio at 13.3 GWp

Inox Green’s O&M portfolio stood at around 13.3 GWp as of June 2026. This includes WWIL’s O&M portfolio and a separate investment involving the acquisition of around 2 GW of wind O&M assets.

The company said it expects to cross 20 GW+ of capacity in the near future, supported by planned annual capacity additions at Inox Clean Energy and external projects executed by Inox Wind.

Integration and Transaction Multiple

The company will now focus on integrating WWIL’s O&M operations. The transaction multiple is approximately 2x EBITDA, based on expected earnings after the full realisation of synergies over the next year, as per the filing.
