On August 8, 2026, Honasa Consumer Limited provided a regulatory disclosure regarding an ongoing legal matter with RSM General Trading LLC following a judgment delivered by the Cassation Court in Dubai, UAE, as per the exchange filings.

The company received the translated copy of the court order on August 7, 2026.

Cassation Court Judgment and Dubai Litigation Details

On July 29, 2026, the Cassation Court in Dubai dismissed appeals filed by both Honasa Consumer and RSM General Trading.

The court upheld the previous ruling from the Court of Appeals dated February 11, 2026, which awarded RSM 1,707,407.06 AED, equivalent to ₹4,43,12,369, as compensation for material and moral damages.

The court rejected the request by RSM for damages amounting to 45,000,000 AED.

Arbitral Tribunal Award in India

Honasa Consumer maintains that an Indian Arbitral Tribunal, appointed by the Supreme Court of India, issued an award on May 14, 2025, which was later amended on June 26, 2026. This award permanently injuncts RSM from continuing proceedings in Dubai courts.

Furthermore, the tribunal ruled that RSM is liable to pay the company damages equivalent to any amount recovered through Dubai court proceedings related to their agreement.

The company states that it does not expect a financial impact from the Cassation Court judgment, citing the reliefs provided in the Indian Arbitral Award. Under the Civil Procedure Code, 1908, the company notes that the Dubai judgment may not be binding given that the governing law of the agreement is Indian law and jurisdiction rests with New Delhi courts.

Conclusion

The Cassation Court upheld an award of 1,707,407.06 AED (4,43,12,369 INR) to RSM, rejecting their 45,000,000 AED claim. Honasa Consumer asserts no financial impact, referencing an Indian Arbitral Award of May 14, 2025, regarding liability indemnification.
