
Choice International Ltd has entered into definitive agreements with NH Investment & Securities Co., Ltd. for an investment in its material subsidiary, Choice Equity Broking Private Limited (CEBPL), as per an exchange filing dated July 9, 2026.
The company, CEBPL and the South Korean financial institution have executed a Share Subscription Agreement and a Shareholders' Agreement for the proposed transaction.
Under the agreements, NH Investment & Securities will subscribe to 42,25,350 Compulsorily Convertible Preference Shares (CCPS) of CEBPL at ₹2,130 per share.
The issue price includes a face value of ₹10 and a securities premium of ₹2,120 per share, taking the total investment value to ₹899.99 crore.
The company said the transaction is subject to statutory approvals and approvals from the exchanges where CEBPL is registered as a member broker.
Choice International said the proposed fund raise is intended to support the growth of CEBPL's broking and distribution business.
According to the disclosure, the capital will strengthen the subsidiary's financial position and capital base, while providing funding for business expansion and future operational requirements.
The transaction is expected to be completed within 12 months from the date of signing the agreements, subject to the completion of regulatory formalities.
The company stated that the CCPS will be converted into equity shares of CEBPL in accordance with the agreed terms. It added that the conversion will not lead to any change in the management or control of either CEBPL or Choice International.
The equity shares issued upon conversion will rank on par with the existing equity shares of the subsidiary. The filing also stated that the transaction is not a related-party transaction.
For the financial year ended 31 March 2026, CEBPL contributed 51% of Choice International's consolidated turnover and 25% of its net worth. The subsidiary reported a turnover of ₹573.26 crore and a net worth of ₹449.39 crore.
During the same period, Choice International recorded a turnover of ₹1,119.13 crore and a net worth of ₹1,782.05 crore.
NH Investment & Securities is headquartered in Seoul and is a core subsidiary of NH Financial Group. Established in 1969, the company operates through more than 57 domestic branches and eight overseas offices, with a workforce of over 3,000 employees.
Choice International said the investor has no shareholding in the company or CEBPL and is not associated with the promoter group.

As of July 9, 2026, 3:30 pm, Choice International Ltd share price was trading at ₹825.00, up 7.27% from the previous closing price.
The proposed investment will take effect after the required approvals and completion of the conditions set out in the agreements. The company has stated that the transaction will not alter the ownership or management structure of either Choice International or CEBPL.
