On April 20, 2026, CEAT Limited announced a significant investment in its wholly owned subsidiary, Tyresnmore Online Private Limited, and the establishment of a new step-down subsidiary, CEAT GMBH, in Germany.

Investment in Tyresnmore Online Private Limited 

CEAT Limited has approved an investment of up to ₹325 lakh in Tyresnmore Online Private Limited through a rights issue of equity shares.  

Tyresnmore, a private company with a turnover of ₹3,225.73 lakh as of March 31, 2025, is engaged in selling automotive tyres, accessories, and providing related services.  

The investment involves the subscription of 26,626 equity shares, ensuring CEAT's shareholding in Tyresnmore remains at 100%. 

Nature and Impact of the Investment 

This investment falls under related party transactions, conducted at arm's length, as per the Companies Act, 2013, and SEBI regulations.  

The transaction aligns with CEAT's strategy to enhance its subsidiary's capabilities in the auto ancillary sector. 

Establishment of CEAT GMBH in Germany 

In addition to the investment in Tyresnmore, CEAT Limited has also established a new step-down subsidiary, CEAT GMBH, in Germany.  

The entity has been set up with a capital of €25,000 and will focus on automotive tyres, tubes, and related products.  

This move marks CEAT's expansion into the European market, although the subsidiary's turnover is not yet applicable as it is newly incorporated.

CEAT GMBH is a related party of CEAT Limited, with 100% of its shares held through CEAT's wholly owned subsidiary.

As of April 21, 2026, at 11:07 AM, CEAT share price on NSE was trading at ₹3,860.60 up by 1.61% from the previous closing price.
