Bajaj Auto’s ₹5,632 crore share buyback has entered an important phase, with June 24, 2026, set as the record date. Shareholders are closely tracking the development as the company has offered a buyback price of ₹12,000 per share, which is higher than recent market prices.
The record date is used to identify shareholders who are eligible to participate in the buyback.
Investors who held Bajaj Auto shares at the end of trading on June 23, 2026, will be eligible to tender their shares in the buyback offer. The company will prepare the list of eligible shareholders based on its records as of June 24.
The buyback was announced in May 2026 along with the company’s March quarter results and will be carried out through the tender offer route.
| Particulars | Details |

| Buyback Price | ₹12,000 per share |
| Record Date | June 24, 2026 |
| Shares to be Bought Back | 46.94 lakh shares |
| Percentage of Equity Capital | 1.68% |

| Retail Reserved Value | ₹845 crore |
| Tendering Period | July 1 to July 7, 2026 |
Bajaj Auto plans to buy back up to 46.94 lakh equity shares at ₹12,000 per share. The total value of the offer is approximately ₹5,632.8 crore, making it the company's largest buyback programme to date.
The company will conduct the buyback through the tender offer method. Eligible shareholders can offer their shares to the company at the announced buyback price during the tendering period.
The tender offer window will remain open from July 1 to July 7, 2026.
An important aspect of this buyback is that the promoters and promoter group entities have indicated that they do not plan to participate. As a result, entitlement calculations will be based only on public shareholders, which may influence the final acceptance ratio.
For most investors, the acceptance ratio is one of the most important factors.
The acceptance ratio indicates the percentage of tendered shares that the company will actually buy back. The final ratio depends on the number of shareholders participating in the offer and the total shares tendered.
According to SEBI regulations, 15% of the total buyback offer is reserved for retail investors. This amounts to around 7.04 lakh shares worth approximately ₹845 crore.
| Particulars | 2024 Buyback | 2026 Buyback |
| Buyback Size | ₹4,000 crore | ₹5,632.8 crore |
| Buyback Price | ₹10,000 per share | ₹12,000 per share |
| Equity Bought Back | 1.41% | 1.68% |
| Retail Entitlement | 7 shares for every 27 held | Yet to be announced |
| Acceptance Ratio | 25%-30% | To be determined |
The final benefit for shareholders will depend largely on the acceptance ratio and participation levels during the tender offer period. While the buyback price has already been fixed at ₹12,000 per share, the actual number of shares accepted by the company will determine the overall returns for participating investors.
