Aster DM, Advent International in Reported Talks for Controlling Stake in Yatharth Hospital: Reports

Advent International and Blackstone-backed Aster DM Quality Care are in discussions to buy a controlling stake in Yatharth Hospital and Trauma Care Services, according to a report by The Economic Times.  

The report said due diligence by the interested parties was nearing completion, though negotiations were still continuing, and there was no certainty of a deal. 

Open Offer May Follow a Control Deal 

Promoters Ajay Kumar Tyagi and family, along with Kapil Kumar, held 55.8% of Yatharth as of the June quarter. If a controlling stake is sold, the buyer would be required to make an open offer for a further 26% of the company. 

The existing promoters could retain a small holding, according to the report. Depending on the response to the open offer, the buyer could eventually own more than 75% of Yatharth. 

Yatharth Plans Further Capacity Addition 

Yatharth operates around nine hospitals with more than 2,800 beds. Headquartered in Noida and Greater Noida, the chain also has operations in Faridabad and Jhansi-Orchha. 

The company is targeting more than 5,000 beds over the next three years through new facilities and expansion. Its plans also include growth in areas such as robotics, oncology, and transplant programmes. 

Revenue Rose 51% in June Quarter 

For the quarter ended June, Yatharth's consolidated revenue rose 51% year-on-year to ₹392.70 crore. EBITDA increased 39% to ₹91.7 crore, while profit after tax rose 8% to ₹45.4 crore. 

Average revenue per occupied bed increased 7% from a year earlier to ₹34,758. Yatharth's whole-time director had said the company recorded 37% growth in FY26 and expected growth to exceed that level in FY27. 

Aster's Expansion Plans 

Aster DM Quality Care operates around 40 hospitals across 27 cities and has a bed capacity of about 10,800. It is targeting 15,000 beds by FY29. 

The report said an acquisition of Yatharth would add to Aster's presence in North and Central India, where it currently has limited operations. Aster is understood to prefer a cash transaction over a stock-based merger.

Yatharth Hospital and Trauma Care Services Share Price Performance  

As of August 28, 2026, 3:30 pm, Yatharth Hospital & Trauma Care Services' share price closed at ₹969.50, a 0.36% decrease from the previous closing price. 

Conclusion 

The reported negotiations are still ongoing, with due diligence said to be nearing completion. However, the companies involved have not confirmed a transaction, leaving the outcome uncertain.
