Antony Lara Enviro Solutions Private Limited, a material subsidiary of Antony Waste Handling Cell has entered into a strategic partnership with JFE Engineering Corporation from Japan.  

This collaboration involves a significant investment aimed at advancing waste-to-energy projects in Andhra Pradesh. 

Details of the Partnership 

On April 8, 2026, Antony Lara Enviro Solutions announced its agreement with JFE Engineering Corporation.  

The partnership involves an investment of over ¥750 million in 2 Special Purpose Vehicles (SPVs), Kadapa Renew Energy Private Limited and Kurnool Renew Energy Private Limited.  

These SPVs are established to develop waste-to-energy projects in Andhra Pradesh. 

JFE Engineering will acquire a 25% equity stake in each SPV through this investment. Currently, both SPVs are wholly owned subsidiaries of Antony Lara.  

Post-transaction, Antony Lara will hold 75% of the shares, while JFE will own 25%, altering the ownership structure. 

Investment and Shareholding Structure 

The investment will be executed through a primary issuance of shares by the SPVs. Antony Lara and JFE will invest in a 75:25 ratio.  

This restructuring will lead to a dilution of Antony Lara's indirect holding in the SPVs, although the company's overall shareholding pattern will remain unchanged.

Implications of the Agreement 

While the restructuring does not directly benefit the promoter group, it provides JFE Engineering with protective board and shareholder reserved matters.  

This includes the right to appoint a nominee on the board of each SPV, enhancing JFE's influence in the projects.

As of April 08, 2026, at 11:49 AM, Antony Waste Handling Cell share price on NSE was trading at ₹449.40 up by 6.85% from the previous closing price.
