
Adani Green Energy Limited has signed a Joint Venture (JV) Agreement through its wholly owned subsidiary, Adani Renewable Energy Middle East Ltd (AGEL UAE), with Minerva Holding RSC Ltd.
As per an exchange filing, the agreement was executed on April 8, 2026, to establish Minerva Renewables Holding RSC Limited.
The JV has been set up to undertake renewable energy projects in India. Its scope includes development, construction, and operation of such projects. The entity will act as the platform for executing these activities.
AGEL UAE is expected to hold up to a 20% stake in the joint venture company. Both AGEL UAE and Minerva will hold equity in the new entity.
Neither party currently holds any shares in the other. No details on share pricing or class of shares have been disclosed.
Minerva is wholly owned by EPointZero Holding RSC Ltd, which is part of International Holding Company PJSC. The group has a reported market capitalisation of over $230 billion.
Under the agreement, Minerva has the right to appoint up to 4 Directors on the Board of the JV, while Adani Green Energy will appoint 1. The board will oversee the functioning of the entity and its subsidiaries.
The company stated that Minerva is not related to its promoter or promoter group. The transaction does not fall under related party transactions.
No additional disclosures on conflicts of interest or capital structure changes were reported.

As of April 9, 2026, 12:19 pm, Adani Green Energy Ltd share price was trading at ₹1,039.35, up 0.94% from the previous closing price.
The arrangement sets out the ownership and governance framework for the 2 parties to carry out renewable energy projects in India through a jointly owned entity.
