5paisa Capital Ltd has received board approval to raise up to ₹475 crore through a rights issue of fully paid-up equity shares, according to a regulatory filing dated February 24, 2026.

The board has sanctioned the issuance of equity shares with a face value of ₹10 each to eligible shareholders on a record date, which will be announced in due course. The total size of the rights issue will not exceed ₹4,750 million (₹475 crore), subject to regulatory approvals and in compliance with SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018.

Key Terms of the Issue

The final terms of the rights issue, including the issue price, rights entitlement ratio, record date, schedule, and payment structure, will be determined by the Rights Issue Committee of the board and disclosed at a later date. The entire fundraising will be executed through the issuance of equity shares.

Q3 FY26 Financial Performance

For Q3 FY26, 5paisa Capital reported a consolidated net profit of ₹12.3 crore, down 24% compared to ₹16.18 crore in the same quarter last year. Revenue from operations fell over 7% to ₹79.27 crore, versus ₹85.27 crore in Q3 FY25.
