Tata Steel Advanced Materials Ltd (TSAML), a wholly owned subsidiary of Tata Steel Ltd, has approved the sale of its entire holding in Ceramat Private Ltd (CPL), as per the exchange filing. The decision was taken at the board meeting held on August 18, 2025. A share purchase agreement was signed the same day with the identified buyer.
The stake has been sold to Lionstead Applied Materials Pvt Ltd, a wholly owned subsidiary of Lionstead Ventures LLP. The buyer is not part of Tata Steel’s promoter group or group companies. The agreement was signed between TSAML, CPL, Lionstead, and other shareholders of CPL.
TSAML held 90% of the equity shares and 100% of the preference shares in CPL. Following the transaction, TSAML no longer holds any securities in CPL. As a result, CPL ceases to be a subsidiary of Tata Steel Ltd.
The consideration for the transaction amounts to ₹99,99,900. The payment is receivable upon transfer of the equity and preference shares by TSAML. The divestment was completed on the same date as the board’s approval.
Ceramat Private Ltd had a turnover of ₹1.73 crore in FY2024-25, which represented 0.001% of Tata Steel’s consolidated turnover. Its net worth as of March 31, 2025, was ₹12.89 crore, forming 0.014% of the consolidated net worth of Tata Steel.
Tata Steel confirmed that the sale is not classified as a related-party transaction. The company made this disclosure in compliance with Regulations 30 and 51 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

As of August 19, 2025, 10:47 AM, Tata Steel share price was trading at ₹158.19, up ₹0.23 or 0.15% from the previous close price.
With the completion of this deal, Tata Steel Advanced Materials has exited its investment in Ceramat Private Ltd. The subsidiary will no longer appear in Tata Steel’s consolidated accounts.
