
The Competition Commission of India on Tuesday cleared Advent International’s proposal to acquire a 14.3% stake in Aditya Birla Housing Finance Ltd.
In February 2026, the boards of Aditya Birla Capital Ltd and ABHFL approved a primary capital infusion of ₹2,750 crore into ABHFL by Indriya Ltd, an Advent International entity.
The regulator stated that the proposed combination involves the acquisition of equity shares through a preferential issue on a private placement basis, representing 14.286% of ABHFL’s post-issue paid-up equity on a fully diluted basis by Indriya Ltd.
ABHFL, a wholly-owned subsidiary of Aditya Birla Capital, provides home loans, loans against property, construction finance loans, and lease rental discounting loans. Following the deal, ABHFL is valued at ₹19,250 crore.
Aditya Birla Housing Finance Ltd (ABHFL) is among India’s fastest-growing housing finance companies and is poised for its next phase of expansion. As a full-stack HFC, it serves both prime and affordable segments, including construction finance, with an Assets Under Management (AUM) of ₹42,204 crore, reflecting a three-year CAGR of 48%.

The company’s ownership is split between Aditya Birla Capital Ltd at 85.7% and Advent International at 14.3%. ABHFL boasts a strengthened balance sheet to maintain growth momentum and capture greater market share, a distribution network equipped for deeper penetration in existing markets, and a scalable digital and underwriting infrastructure that ensures faster turnaround times and consistent underwriting discipline.
