
ZEEL share priceis likely to remain on the radar of investors with a demat account after SEBI imposed monetary penalties on the company, former Chairman Subhash Chandra, and Managing Director & CEO Punit Goenka.
The regulator's final order relates to the unauthorized pledge of the company's Hyderabad land as collateral for loans availed by promoter-linked Essel Group entities, highlighting serious corporate governance concerns.
According to SEBI's order, ZEEL's prime real estate in Hyderabad was pledged to secure loans worth ₹726 crore from Indiabulls Housing Finance Ltd. for promoter-linked Essel Group companies.
The regulator found that Subhash Chandra executed the required declaration and acknowledgment for the mortgage without obtaining approval from ZEEL's board of directors, audit committee, or shareholders. SEBI concluded that the transaction resulted in company assets being used for the benefit of promoter entities without proper authorization.
Although ZEEL argued that the mortgage was undertaken without the board's knowledge and that the original title deeds were recovered in 2020, SEBI held that these explanations did not address the governance and disclosure failures identified during its investigation.
SEBI held that Subhash Chandra and Punit Goenka acted in concert, leading to violations of the Prohibition of Fraudulent and Unfair Trade Practices (PFUTP) Regulations and the Listing Obligations and Disclosure Requirements (LODR) Regulations.
The regulator imposed the following penalties:

SEBI's latest action reinforces its strict stance on corporate governance and related-party transactions involving listed companies. The order also highlights the responsibility of company leadership to safeguard shareholder interests and ensure that corporate assets are not used for the benefit of promoter entities without due approvals.
The SEBI order marks another significant corporate governance development for Zee Entertainment and is expected to keep the ZEEL share price in focus. While the company had recovered the mortgaged property documents years ago, the regulator's findings underscore that governance lapses and disclosure failures can still attract stringent enforcement, reinforcing accountability for listed companies and their promoters.
