Waaree Energies Limited has informed the stock exchanges about a corporate development involving its subsidiary structure. Through its wholly owned subsidiary, Waaree Forever Energies Private Limited, the company has incorporated 10 new step-down subsidiaries.
This disclosure has been made in compliance with SEBI Listing Regulations and reflects an organisational step to support upcoming power projects under the Independent Power Producer framework.

The company submitted the required intimation to both BSE Limited and the National Stock Exchange of India Limited under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
The disclosure aligns with the applicable SEBI circular dated 11 November 2024, and the certificates of incorporation for all entities have been received.
Details of the Subsidiary Structure
Waaree Forever Energies Private Limited, a wholly owned subsidiary of Waaree Energies Limited, holds 100% shareholding in each of the newly incorporated companies.
As a result, these entities qualify as step-down subsidiaries of the listed company.
Purpose of Incorporation
The subsidiaries have been incorporated to facilitate and hold specific power generation projects.
Their intended operations fall within the Independent Power Producer segment and are aligned with the broader business activities of the Waaree group in the energy sector.
Financial and Operational Status
All ten companies are newly incorporated and have not commenced business operations. Consequently, they report no turnover to date.
No consideration, acquisition cost, or regulatory approvals were required for their incorporation, and the transaction does not constitute a related party transaction.
Waaree Energies share price was trading at ₹3,093, down 0.10% at 11:30 AM on the NSE.
List of Newly Incorporated Entities
The entities incorporated in December 2025 include Lumina Greentech Private Limited, Prithvi Vayu Green Energy Private Limited, Tejas Urja Solutions Private Limited, Akash Agni Renewables Private Limited, Vayu Jal Energy Private Limited, Surya Prakriti Power Private Limited, Agni Prithvi Renewables Private Limited, Jal Vayu Urja Private Limited, NetZero Ventures Private Limited, and Carbon Positive Energy Solutions Private Limited. All are registered in India with the Registrar of Companies, Mumbai.
