
Waaree Energies Limited has informed stock exchanges about the incorporation of three new step-down subsidiaries by its wholly-owned unit, Waaree Forever Energies Private Limited.
The new entities, Aqua Ray Renewables, Vayu Shakti Renewables, and Geo Nova Energy Private Limited, have been formed to hold and manage specific independent power producer (IPP) projects.
The companies are newly incorporated and yet to commence operations.
On 17 December 2025, Waaree Forever Energies Private Limited established three wholly-owned subsidiaries: Aqua Ray Renewables Private Limited, Vayu Shakti Renewables Private Limited, and Geo Nova Energy Private Limited.
Certificates of incorporation were received on the same day, confirming their legal registration in India.
These subsidiaries have been incorporated under the Independent Power Producer (IPP) framework.
Their primary objective is to facilitate and manage specific power projects, allowing focused execution and structured management of energy initiatives.
No governmental or regulatory approvals were required for these incorporations. As these are internal step-down subsidiaries, there was no cash consideration, share swap, or other financial transaction involved. Waaree Forever Energies holds 100% equity in each entity.
Waaree Forever Energies Private Limited, a wholly-owned subsidiary of Waaree Energies Limited, retains full ownership and control over the three companies.
These subsidiaries are fully aligned with the parent company’s strategic focus on power generation and energy projects.
Waaree Energies shares traded at ₹2,853.90, down ₹24.90 or 0.86% from the previous close of ₹2,878.80. The stock opened at ₹2,872.10, reaching a high of ₹2,873.00 and a low of ₹2,840.00 during the session.

The formation of these three step-down subsidiaries underscores Waaree Energies’ commitment to expanding its footprint in the independent power sector. The companies are in the initial phase and will enable structured management of targeted power projects under the IPP model.
