
Tata Steel Limited has successfully acquired a significant stake in Tata BlueScope Steel Private Limited, marking a pivotal moment in its corporate strategy. This acquisition, finalised on December 31, 2025, enhances Tata Steel's influence in the steel industry.
On December 31, 2025, Tata Steel completed the acquisition of 43,29,90,000 equity shares in Tata BlueScope Steel Private Limited. Each share has a face value of ₹10, and the total consideration for this acquisition amounted to ₹1,099.97 crore. This transaction was executed as per the Share Purchase Agreement signed on November 12, 2025.
Prior to this acquisition, Tata BlueScope Steel was a 50:50 joint venture between Tata Steel Limited, through its wholly owned subsidiary Tata Steel Downstream Products Limited, and BlueScope Steel Limited, through its wholly owned subsidiary BlueScope Steel Asia Holdings Pty Ltd.
Following this transaction, Tata Steel now holds a 99.99% stake in Tata BlueScope Steel, both directly and indirectly. This development effectively makes Tata BlueScope Steel an indirect subsidiary of Tata Steel.
This strategic move is in compliance with the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015. Tata Steel has ensured that all regulatory requirements have been met in this acquisition process.

The acquisition has been disclosed in accordance with Regulations 30 and 51 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.
