Tata Motors Share Price in Focus; Provides $2.2 Billion Guarantee for Iveco Acquisition

Tata Motors is progressing with its planned acquisition of Iveco’s commercial vehicle business, supported by a structured financing arrangement involving significant corporate guarantees.
Funding Structure and Guarantee Details
As per The Moneycontrol report, the company has provided corporate guarantees amounting to $2.2 billion (approximately €1.9 billion) in March to enable bridge financing of $4.4 billion (around €3.8 billion).
These guarantees have been extended on behalf of its Singapore-based holding structure created for the transaction.
The guarantees are currently assigned to TML CV Holdings, a wholly owned subsidiary. The bridge loan itself is routed through a Netherlands-based entity under the Singapore structure, with the guarantee covering roughly 50% of the total loan amount.
Acquisition Scope and Deal Structure
Tata Motors had announced in July 2025 that it would acquire the civilian truck and bus operations of Iveco Group for about $4.45 billion (€3.8 billion).
The transaction is structured as a full cash acquisition, with Tata Motors set to acquire 100% of Iveco’s commercial vehicle business.
The deal includes multiple components such as truck and bus operations, powertrain business and the financial services arm.
To execute the acquisition, a layered structure has been created, including a Singapore holding entity and a Dutch subsidiary, TML CV Holdings BV, which will eventually acquire the shares of Iveco.
Approval Process and Timeline
The transaction requires approvals from international authorities, including the Italian government for foreign investment clearance and the European Central Bank.
No approval is required from Indian authorities. While most approvals have been secured, a few are still pending.
Iveco has indicated a delay in holding its extraordinary general meeting, which was initially planned for early May to approve the transaction.
Despite this, sources indicate that the deal remains on track. The share purchase is expected to be completed in the first quarter of FY27, with the tender offer scheduled to open after all approvals are in place.
Strategic Context and Precedent
The acquisition structure mirrors the approach adopted by Tata Motors during the Jaguar Land Rover acquisition in 2008, where a Singapore-based entity was used to facilitate the transaction. This reflects a continuation of its cross-border acquisition strategy.
