Tata Motors Share Price in Focus; Iveco Acquisition Gets Final ECB Approval

Tata Motors has received all prior sector-specific regulatory approvals required for its proposed €3.8 billion acquisition of Italian commercial vehicle maker Iveco Group, asper a CNBC TV18 news report.
The final approval was received from the European Central Bank (ECB) on September 1, 2026. It relates to the proposed acquisition of indirect qualifying holdings in IC Financial Services SA and CNH Industrial Capital Europe SAS.
Both companies are specialised credit institutions authorised in France. The approval was required under the regulatory framework applicable to the transaction.
Approvals Received Earlier
TML CV Holdings B.V., an indirect wholly owned subsidiary of Tata Motors’ commercial vehicles business, is making a voluntary tender offer for all issued common shares of Iveco Group.
Before the ECB approval, Tata Motors had received two other sector-related clearances. The UK Financial Conduct Authority approved the changes in control of Iveco Retail Limited and IC Financial Services UK Limited on January 5.
The Bank of Spain issued its non-objection on June 24 for the acquisition of an indirect qualifying holding in Transolver Finance.
Tender Offer Process
With the ECB approval in place, Tata Motors said all prior authorisations required under the sector-regulatory framework for the voluntary tender offer have been obtained.
The next step is the publication of the formal offer document. This will follow completion of the review by Italy’s securities regulator, Consob.
The tender offer will be launched in Italy and extended to shareholders in the United States under applicable US securities rules. Iveco shareholders will receive the formal offer document before the tender period starts.
Acquisition Details
Tata Motors had formally communicated its decision to launch the tender offer on July 30, 2025. The offer is being made through TML CV Holdings B.V., with TML CV Holdings Pte. Ltd. as the holding entity.
The offer covers all issued common shares of Iveco Group. The completion of the prior regulatory approvals removes the sector-specific approval requirements that needed to be met before the offer could proceed to its next stage.

As of September 2, 2026, 1:16 pm, Tata Motors Passenger Vehicles share price was trading at ₹312.55, up 0.82% from the previous closing price.
Conclusion
Tata Motors has now completed the required prior sector-regulatory approval process for the Iveco offer. The transaction will move to the offer document stage after Consob completes its review.
