Sterling and Wilson Renewable Energy Limited has provided an update on the status of an ongoing material dispute involving its wholly owned US subsidiary. 

The disclosure follows earlier communications made in August 2023, November 2023 and October 2025, and is submitted in accordance with the latest SEBI Master Circular. 

The company has outlined developments relating to arbitration proceedings and their current status.

Current Status of the Proceedings

OEG Inc. and Sterling and Wilson Solar Solutions, Inc. have mutually agreed to dismiss the arbitration proceedings between them. The arbitration has been dismissed with prejudice, indicating that the matter will not be re-litigated in the same form.

However, certain counterclaims referenced in the arbitration order dated March 13, 2025, remain expressly reserved. The dismissal does not include any award of costs, expenses, or legal fees to either party. The proceedings have been formally closed through a general order of dismissal.

Parties Involved in the Arbitration

The arbitration proceedings involved OEG Inc., USA, as the applicant, and Sterling and Wilson Solar Solutions, Inc., USA, as the opposing party. Sterling and Wilson Solar Solutions is a subsidiary of Sterling and Wilson Renewable Energy Limited.

Impact on Management and Financial Position

The company has clarified that the matter does not involve litigation against key management personnel, promoters, or any ultimate controlling persons.

Additionally, there has been no settlement involving compensation, penalties, or payments that would have a direct financial impact on the listed entity.

Share Price Performance

As of December 22, 2025, at 09:24 AM, shares of Sterling and Wilson Renewable Energy Limited were trading at ₹216.29, up ₹2.47, reflecting a gain of 1.16%.
