Star Cement Limited has taken a strategic step towards strengthening its raw material security by initiating the acquisition of a mining company through its subsidiary structure.

Acquisition of Mining Asset Through Subsidiary

The company’s wholly owned subsidiary, Ri Pnar Cement Private Limited, has entered into an agreement to acquire the entire equity stake in Nitesh Minerals Private Limited. Upon completion, the target entity will become a step-down subsidiary of Star Cement.

The transaction involves full ownership transfer, positioning the group to directly control a key mineral resource.

Strengthening Limestone Supply Chain

The primary objective behind the acquisition is to secure uninterrupted access to limestone, a critical raw material for cement production. The move is also expected to provide logistical advantages and improve operational efficiency across the company’s manufacturing network.

Nitesh Minerals operates in the mining sector and holds relevant mineral resources required for cement operations.

Deal Size and Structure

The acquisition is being executed through a cash transaction valued at approximately ₹17.19 crore for 100% stake. The share purchase agreement has already been signed, marking a significant step towards integration.

The target company, incorporated in 2006, has been engaged in mining activities and reported recent operational turnover.
