Shareholders Clear Name Change: ICICI Prudential Life to Become ICICI Life Insurance

Shareholders of ICICI Prudential Life Insurance Company have approved a proposal to rename the company as ICICI Life Insurance Limited, marking a significant rebranding move for one of India's largest private life insurers. The decision was welcomed with 99.99% votes in favor at a recent shareholder meeting.
This move also signals the shift in the status of Prudential Corporation Holdings to be reclassified from "promoter" to "investor" ahead of its planned acquisition of a controlling stake in Bharti Life Insurance.
What are the Changes to be Expected in the Company Documents?
Following the approval, the company is required to amend its Memorandum and Articles of Association to reflect the new name wherever the existing name currently appears. Once the necessary approvals are secured, the new name will also be updated across the company's official documents, contracts, records, and other materials.
Regulatory Approval Still Pending
The company has clarified that the name change will only come into effect after receiving approvals from the relevant authorities, including the Registrar of Companies, the Ministry of Corporate Affairs, and/or other applicable regulators, along with the issuance of a fresh certificate of incorporation.
While the company has moved to adopt the shorter "ICICI Life Insurance" identity, the formal legal name change is still contingent on completing this regulatory process.
Prudential's Reduced Role
The rebranding follows a broader restructuring of Prudential PLC's India operations, triggered by its decision to acquire a 75% stake in Bharti Life Insurance.
As part of this deal, Prudential is required to dilute its shareholding in ICICI Prudential Life to below 10%, from its current holding of about 22%, and be reclassified from a "promoter" to an "investor" in the company. Consequently, Prudential's nominee director is expected to step down from the board, and Prudential will no longer hold the same promoter status at the insurer that it has held historically.
