S H Kelkar and Company Limited has announced the sale of its entire 17% equity stake in CFF Keva Italy S.p.A. to Keva Italy Srl. This strategic move is aimed at consolidating its European operations under Keva Europe BV. 

Details of the Stake Sale 

On March 13, 2026, the Board of Directors of S H Kelkar approved the sale of its 17% equity stake in CFF Keva Italy S.p.A. to Keva Italy Srl. This transaction is valued at up to €12.5 million and is expected to be completed by September 30, 2026. The sale will result in Keva Italy Srl increasing its stake in CFF from 83% to 100%, making CFF a wholly owned subsidiary of Keva Italy. 

Impact on S H Kelkar's Financials 

For the financial year ending March 31, 2025, CFF Keva Italy S.p.A. contributed ₹358.04 crore to S H Kelkar's consolidated revenue, accounting for 16.86% of the total. The net worth of CFF was ₹94.35 crore, representing 7.42% of the company's consolidated net worth. This sale will streamline the company's structure, ensuring all European operations are managed through Keva Europe BV. 

Transaction Details and Buyer Information 

Keva Italy Srl, the buyer, is a wholly owned subsidiary of Keva Europe BV, which in turn is owned by S H Kelkar. Established on November 22, 2019, Keva Italy Srl is part of the company's international business strategy. The transaction qualifies as a related party transaction and will be conducted at arm's length.
