The board approved the allotment of 92,91,34,820 (92.91 crore) fully paid-up equity shares to Emirates NBD Bank at a price of ₹280 per share.
This transaction amounts to a total of ₹26,015,77,49,600 (26,015 crore). The face value of each share is ₹10, with a premium of ₹270.
This preferential issue on a private placement basis aligns with the Companies Act, 2013, and SEBI regulations.
Following this allotment, RBL Bank's paid-up equity share capital increased from ₹619,42,32,130 (619.42 crore) to ₹1,548,55,80,330 (₹1,548.55 crore).
In addition to the share allotment, the board approved the appointment of several new non-executive non-independent directors as nominees of Emirates NBD Bank.
The new appointees include Mr. Shayne Keith Nelson, Mr. Patrick John Sullivan, Mr. Neeraj Makin, Mr. Manoj Chawla, and Mr. Marwan Mahmood Mohammad Hadi.
The board also noted the resignation of Mr. Gopal Jain and Ms. Veena Mankar as non-executive non-independent directors. The meeting commenced at 9:35 am and concluded at 10:45 am.

Post-allotment, Emirates NBD Bank holds 60% of RBL Bank's equity shares. The bank has been classified as a promoter following this transaction. The allotment was made to a single investor, Emirates NBD Bank.
As of June 18, 2026, at 11:38 AM, RBL Bank share price on NSE was trading at ₹371.95, up by 0.74% from the previous closing price.
RBL Bank's equity share allotment to Emirates NBD Bank involved 92,91,34,820 shares at ₹280 each, raising the bank's paid-up capital to ₹1,548.55 crore. The board also reconstituted with new directors and noted two resignations.
