PVR INOX Share Price in Focus; Board Approves ₹300 Crore Share Buyback

PVR INOX Limited has approved a proposal to buy back shares worth up to ₹300 crore, as per an exchange filing dated August 31, 2026. The buyback will be made through a tender offer using the stock exchange mechanism.
Under the proposal, PVR INOX may buy back up to 20,68,965 equity shares at ₹1,450 per share. The shares have a face value of ₹10 each. The proposed buyback accounts for 2.11% of the company’s existing paid-up equity share capital.
Record Date Announced
September 4, 2026, has been fixed as the record date to determine which shareholders can participate in the buyback. The company said the remaining details, including timelines and the process, will be set out in the public announcement and letter of offer.
The ₹300 crore figure does not include expenses related to the transaction, such as brokerage, taxes, filing charges, legal fees, and advisory costs.
The board or Buyback Committee may revise the price upwards and reduce the number of shares accordingly, while keeping the overall size unchanged.
Existing Shareholding Pattern
The company has said that its promoters and members of the promoter group intend to participate in the buyback. As of August 28, promoters and the promoter group together held 27.53% of PVR INOX.
Financial institutions, banks, and mutual funds were the largest shareholder category with a 35.03% holding. Foreign investors held 19.82%, while public shareholders and other entities accounted for the remaining 17.62%.
Appointments for the Process
The board has set up a Buyback Committee to deal with matters connected to the transaction. DAM Capital Advisors Limited has been appointed as the manager to the buyback, while Murlee Manohar Jain will serve as the compliance officer.
The final number of shares repurchased, and the post-buyback shareholding pattern will be determined once the process is completed.

As of September 1, 2026, 3:28 pm, PVR INOX share price was trading at ₹1,225.60, a 1.48% increase from the previous closing price.
