
Power Grid Corporation of India Limited (POWERGRID) has acquired NES Pune East New Transmission Limited (NPENTL) for about ₹8.05 crore, according to a regulatory filing dated 12 March 2026.
The acquisition follows POWERGRID emerging as the successful bidder under the tariff-based competitive bidding (TBCB) process for a transmission project in Maharashtra.
The transaction includes the purchase of 10,000 equity shares with a face value of ₹10 each, along with the assets and liabilities of the special purpose vehicle (SPV) as on the acquisition date.
The final acquisition price may be adjusted after the company’s accounts as of the acquisition date are audited.
The SPV will implement the Network Expansion Scheme in Maharashtra for removal of transmission constraints in Pune Region-I (765/400 kV AIS Pune East). The project will be executed on a build, own, operate and transfer (BOOT) basis.
The scope of work includes the establishment of a 765 kV and 400 kV air-insulated substation (AIS) in Ahilyanagar district, along with associated transmission lines across the state. The project also involves bay extension works at existing substations in Maharashtra to strengthen the transmission network in the region.
NPENTL was incorporated on 29 March 2025 by PFC Consulting Limited, which acted as the bid process coordinator for the project. The SPV was created under the Ministry of Power’s guidelines aimed at encouraging competition in the development of transmission projects.
Following the acquisition, POWERGRID holds 100% shareholding and control of the entity. Prior to the transaction, the company did not have any interest in NPENTL and the acquisition does not fall under related-party transactions.
After the transfer of the SPV, approvals related to the grant of a transmission licence and the adoption of transmission charges are expected to be obtained from the Maharashtra Electricity Regulatory Commission (MERC).
NPENTL has not yet begun commercial operations and therefore has no recorded turnover in the past 3 years. The entity is expected to operate within India in the power transmission segment once the project progresses.
As of March 13, 2026, 11:36 am, Power Grid Corporation of India share price was trading at ₹304.95, a 0.44% increase from the previous closing price.
The acquisition transfers the Maharashtra transmission project SPV to POWERGRID, enabling the company to take forward the planned network expansion aimed at easing transmission constraints in the Pune region.
