Indus Towers Limited has announced the incorporation of a wholly owned subsidiary, Indus Towers Global Ventures IFSC Limited, in Gujarat International Finance Tec-City (GIFT City), Gujarat. This strategic move is aimed at enhancing the company's investment and treasury operations. 

Details of the New Subsidiary 

Indus Towers Global Ventures IFSC Limited has been established with a share capital of 20,00,000 equity shares, each valued at ₹10, amounting to a total of ₹2,00,00,000. 

The subsidiary is set to function as an investment holding company for Indus Towers' overseas subsidiaries and will also manage treasury functions under the IFSC framework. 

This development follows the company's prior announcement on January 22, 2026, and the subsidiary was officially incorporated on April 28, 2026, as per the Certificate of Incorporation. 

Regulatory Compliance and Transaction Details 

The incorporation of the subsidiary complies with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.  

The transaction is considered a related party transaction as the new entity is a wholly owned subsidiary of Indus Towers Limited. 

Purpose and Functionality 

The primary objective of establishing this subsidiary is to streamline Indus Towers' investment and treasury operations.  

The entity will serve as an investment holding company, facilitating the company's overseas subsidiaries and managing treasury activities in alignment with the IFSC framework.

As the subsidiary is yet to commence business operations, there is no turnover to report at this stage.
