IIFL Finance Limited has announced the allotment of 35,000 secured, listed, rated, redeemable non-convertible debentures (NCDs) through a private placement.
The debentures, each with a face value of ₹1,00,000, amount to a total of ₹350 crore. This allotment was approved by the Finance Committee of the Board of Directors on September 2, 2026.
Details of the Allotment
The NCDs are set to be listed on the National Stock Exchange of India Limited. The tenure of these instruments is 730 days, with the date of allotment being September 2, 2026, and the maturity date set for September 1, 2028.
The debentures carry an interest rate of 9.25% per annum, with interest payments scheduled for September 2, 2027, and September 1, 2028. The principal amount will be redeemed on the maturity date.
Security and Charge
The debentures are secured by a first-ranking pari passu charge over all current, standard, and performing book debts, loans, advances, and current assets/receivables of the company.
This includes assets arising from gold loans, MSME/business loans, real estate loans, capital market loans, and loans against property. The security cover is maintained throughout the tenure of the debentures.

Default and Additional Interest
In the event of a default, including delays in coupon payment or principal redemption, the company will pay an additional interest of 2% per annum over the applicable coupon rate.
This applies to both defaulted amounts and the principal amount outstanding, effective from the date of default until it is resolved to the satisfaction of the debenture trustee.
