ICICI Bank Prices USD 1 Billion 5-Year Notes at 5.459% via IFSC Banking Unit

ICICI Bank Limited, through its IFSC Banking Unit, has priced $1 billion in Senior Unsecured Fixed Rate Notes, as per the exchange filings.  

This issuance, executed on July 24, 2026, is part of the bank's $7.5 billion Global Medium Term Note Programme.  

The bank has complied with Regulation 30 of the Securities and Exchange Board of India, addressing its regulatory filing to BSE Limited and the National Stock Exchange of India Limited. 

Details of the Bond Issuance 

The notes are structured as a 5-year bond with a fixed coupon interest rate of 5.459% per annum.  

Interest payments are scheduled semi-annually on July 30 and January 30, continuing until the maturity date on July 30, 2031.  

The allotment date for the issuance is set for July 30, 2026. These notes are unsecured, with no charge or security over the bank's assets. 

Global Distribution and Listing 

The issuance is classified as a 144A/RegS Registered, Category 1 drawdown. The securities are not for distribution in the United States and have not been registered under the United States Securities Act of 1933.  

ICICI Bank plans to list the notes on the Global Securities Market of the India International Exchange IFSC Limited, the Debt Securities Market of the NSE IFSC Limited, and SGX-ST.

Use of Proceeds and Risk Assessment 

The net proceeds will be used for general corporate purposes, adhering to regulatory guidelines. The risk profile indicates no history of delays or defaults in interest or principal payments. The notes carry no special rights or privileges, and there has been no cancellation or termination of the issuance proposal.
