Hindustan Aeronautics Limited (HAL) has signed an agreement to acquire the remaining 50% stake in HATSOFF Helicopter Training Pvt. Ltd. from CAE Canada, as per the exchange filings reported on October 2, 2026.
This acquisition will convert HATSOFF into a wholly-owned subsidiary of HAL, enhancing its control over the joint venture.
Details of the Acquisition
HAL has acquired 3,84,04,205 equity shares, each with a face value of ₹10, from CAE Canada at nil consideration.
This acquisition aligns with HAL's strategy to gain full management control and streamline decision-making processes within HATSOFF.
The company, which specialises in military and civil helicopter pilot training, has an authorised capital of ₹76.84 crore and a paid-up capital of ₹76.80 crore.
Regulatory Approvals and Timeline
HAL has received the necessary administrative approval from the Ministry of Defence's Department of Defence Production, with concurrence from the Department of Investment and Public Asset Management, Ministry of Finance.
The acquisition is expected to be completed within 60 days from the signing of the Share Transfer Agreement.
Financial Performance of HATSOFF
HATSOFF reported a turnover of ₹80.95 crore for the financial year 2025-26. The company has shown consistent growth over the past 3 years, with turnovers of ₹66.49 crore in 2023-24 and ₹69.55 crore in 2024-25.
The entity provides simulator training for defence and civil customers, serving clients such as the Indian Air Force, Army, Navy, Coast Guard, BSF, and civil operators like Pawan Hans Limited and Global Vectra.

Background of HATSOFF
Incorporated on January 16, 2008, HATSOFF has been a joint venture between HAL and CAE Canada. The acquisition will enable HAL to fully integrate HATSOFF's operations and align them with its core business objectives.
The transaction is classified as a related party transaction under SEBI LODR Regulations, as HAL previously held a 50% stake in the joint venture.
