
BASF India Limited has approved the sale of its entire stake in BASF India Coatings Private Limited for ₹230.16 crore. As per an exchange filing, the decision was taken at a board meeting held on 30 March 2026.
The proposal had earlier been reviewed by the audit committee. The valuation has been determined by an independent valuer, with final adjustments to be made at closing.
The buyer entities are Bond German BidCo 2 GmbH and Bond France BidCo SAS, linked to Carlyle Group. These entities are not part of the promoter or group companies of BASF India. The transaction is not classified as a related party deal.
The agreement is expected to be executed ahead of the closing, which is scheduled for the second quarter of 2026.
For the year ended 31 March 2025, the coatings subsidiary reported revenue of ₹479.64 crore. This represented 3.1% of BASF India’s consolidated turnover. Its net worth stood at ₹199.74 crore, accounting for 5.5% of total net assets.
Based on these numbers, the subsidiary has not been treated as material within the company’s overall structure.
The sale follows an earlier development in October 2025, when BASF entered into a global agreement with funds managed by Carlyle, along with the Qatar Investment Authority.
That agreement covered automotive OEM coatings, refinish coatings and surface treatment businesses. BASF India had then stated it would review the effect of the global transaction on its domestic operations.
The closing of the transaction is planned for the second quarter of 2026. Once completed, BASF India Coatings Private Limited will no longer remain a wholly owned subsidiary of BASF India. The consideration amount will be received at closing, subject to agreed adjustments.

As of April 1, 2026, 10:24 am, BASF India Ltd share price was trading at ₹3,296.90, up 2.60% from the previous closing price.
The divestment is aligned with the global transaction announced earlier. Completion of the sale will change the ownership of the coatings business, with the subsidiary moving out of BASF India’s structure.
