Bajaj Finance Share Price in Focus; Board Approves ₹17,500 Crore Capital Raise

Bajaj Finance’s Board has approved proposals to raise up to ₹17,500 crore through a Qualified Institutions Placement (QIP) and a preferential issue of warrants. The proposals are subject to regulatory and statutory approvals, including shareholder approval.
QIP of Up to ₹11,700 Crore
The company plans to raise up to ₹11,700 crore through a QIP of equity shares. The shares will have a face value of ₹1 each and will be issued to Qualified Institutional Buyers.
The QIP will be carried out under Chapter VI of the SEBI Issue of Capital and Disclosure Requirements Regulations, 2018 and the Companies Act, 2013.
₹5,800 Crore Preferential Issue
The Board has also approved a preferential issue of warrants for an amount not exceeding ₹5,800 crore. The warrants will be convertible into an equivalent number of equity shares.
Bajaj Finserv Limited, the promoter and holding company of Bajaj Finance, has been named as the proposed allottee. The issue will involve one investor.
Warrant Payment Structure
At least 25% of the consideration will be payable on the date of allotment. The remaining 75% will be payable when the warrants are exercised and the equity shares are allotted.
The issue price will be determined later in accordance with applicable law. Each warrant will be convertible into an equivalent number of equity shares that rank pari passu with the company’s equity shares.
If the allottee does not exercise the warrants within 18 months from allotment, the consideration payable will stand forfeited, subject to the period permitted under applicable SEBI regulations.
Shareholder Approval
Bajaj Finance will seek shareholder approval for both proposals through an Extra Ordinary General Meeting. The proposals remain subject to approvals.
